  Misson Statement

As an amateur in making use of a corporation system, postwar Japan used up the system of corporation and capital market without preparing appropriate legal standards. As a result, Japan has been suffering from an aftereffect of severe damage caused by formation and collapse of huge bubble economy. Nevertheless, legislation for corporation system and securities market has just started. Although Japanese judicial system can deal with the civil law, it has not been organized yet enough to confront with rapidly changing systems at daily basis including financial and securities market as well as public corporate law that is inseparable from the market. If the issues come to the area of company and market, Japanese civil law also cannot manage them by its traditional theoretical framework. Furthermore, Japanese criminal law is not matured in respect to handle corporate and market related matters. Inevitably, Asian countries will also face the same problems as Japan, which will cause creation and collapse of a bubble economy. A collapse of bubble economy will increase corporate bankruptcy and unemployment rate, causing crimes and possibly, a war in the end. Therefore, the most important purpose of our institute is to create an original theory of the legal system that can predict possible risks not only in Japan but also in the West and other nations in the world. Japan who has had difficult time since the collapse of bubble economy can take initiative by studying the Western rules and histories; furthermore, conducting research to experience vicariously on hidden empirical rules, ideologies, and ideas in the Western society. Our institute aims to be among excellent global standards in this respect.

In the application for COE research base, the purpose of our institute was described as follows.

"In order to develop a truly stable corporate system in Japan, we aim to create universal legislation for Japan that overcomes Western weakness by conducting analysis and research on history as well as an essence of the Western corporate legislation, and financial and capital market. To achieve this purpose, Waseda Institute for Corporation Law and Society was established to facilitate diversified research projects, to construct a framework of a new theory in this field, and to return its outcome to society. "

"It is urgent for Japan to strengthen the corporate governance, an execution unit of disclosure, accounting, and audit, to ensure a fair securities market on which management decision relies. Our institute aims to present requirements for establishing such a full-scale corporation system. First, we will present a concrete proposal about the corporate legislation and capital market legislation. Second, we will conduct research to create a theory in which the civil law, criminal law, procedural law, bankruptcy law and so forth can handle corporate and market. Third, we will conduct historical, ideological, and philosophical research on the Western concepts of an organization, an association, a corporation, a company, etc. and the true meaning of them to civil society. To the fourth, we will strongly facilitate to study legal condition for sound development of intellectual property research that is known as a national project, with the recognition of its importance throughout the institute."
